Terms of Service

These Terms of Service ("Terms") govern your use of SettleShip ("the App"), operated by Red Evolve Technologies Private Limited ("we," "us," "our"), GSTIN 07AANCR2428R1ZN. Please read them before you board.

1. Acceptance of these Terms

By creating an account, joining a crew, or otherwise using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the App. You must be at least 13 years old to use SettleShip.

2. What SettleShip is (and is not)

SettleShip is a shared expense tracking tool. It records expenses you and your crew enter, splits them, and simplifies who owes whom into the fewest transfers.

• SettleShip is not a bank, wallet, payment processor, money transmitter, or financial institution.
• We never hold, move, or take custody of your money.
• We do not charge commission on settlements between crew members.

3. UPI settlements

When you settle a balance, the App generates a UPI deep link or QR code that opens your own UPI app (such as Google Pay, PhonePe, or Paytm). The payment happens entirely between you, your UPI app, and your bank. We never receive or store your UPI PIN, banking passwords, or bank account credentials, and we cannot confirm, reverse, or guarantee any transfer. Marking a settlement as complete inside SettleShip is a record-keeping action only.

4. Your account

• You must provide accurate information when creating an account.
• You are responsible for keeping your login credentials and device secure, and for all activity under your account.
• Tell us promptly at admin@redevolve.in if you suspect unauthorised access.
• We may suspend or terminate accounts that breach these Terms.

5. Crews, invites, and shared visibility

A crew is a shared workspace. Members of a crew can see the crew's expenses, descriptions, attachments, splits, balances, and member names. Anyone with a valid gate code (invite code) can request to dock with that crew, so share codes only with people you intend to add. You are responsible for who you invite and for the information you choose to put into a shared crew.

6. Your content

You keep ownership of everything you add — expenses, descriptions, receipts and photos, UPI IDs, and crew details. You grant us a limited, non-exclusive licence to host, store, process, and display that content solely to operate and provide the App to you and your crew members. We do not sell your content and we do not use it for advertising.

7. Receipt scanning (optional)

You may attach a receipt photo to an expense. If you choose to use scan/OCR, the image is uploaded to our backend and sent to a third-party AI provider (OpenAI) which returns suggested fields such as description, amount, category, and date. Suggestions may be inaccurate — please review them before saving. Scanning is optional: you can attach a photo without scanning, or enter every field manually. OCR requires a network connection.

8. Contacts permission (optional)

With your permission, the App may read device contacts to help you pick crew members. This is optional and can be declined or revoked in your device settings. We do not upload your full address book as a product feature.

9. Acceptable use

• No illegal, fraudulent, or abusive use of the App.
• No harassment, spam, or unsolicited messaging of other users.
• No impersonation of another person, crew, or of Red Evolve Technologies.
• No scraping, reverse engineering, or automated bulk access to the App or its APIs.
• No attempts to break, overload, or bypass security or access controls.

10. Account deletion

You can delete your account from within the App (Profile → Danger Zone → Delete Account). We remove your personal data from active systems within a reasonable time. Because expenses are shared, entries you created in a crew may remain visible to other members in anonymised form (shown as "Deleted User") so their balance history stays intact.

11. Disclaimers

Balances, splits, and settlement suggestions are calculated from data that you and your crew enter. They are estimates and record-keeping aids, not statements of account, tax advice, accounting advice, or financial advice. You are responsible for verifying amounts before paying anyone. The App is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law. We do not warrant uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by applicable law, Red Evolve Technologies Private Limited will not be liable for indirect, incidental, special, or consequential losses, or for lost profits, lost data, or payments made or not made between users. Our total aggregate liability for any claim relating to the App is limited to the amount you paid us for the App in the twelve months before the claim, or ₹1,000, whichever is greater. Nothing in these Terms excludes liability that cannot be excluded under Indian law.

13. Changes to the App and to these Terms

We may add, change, or discontinue features, and we may update these Terms from time to time. The updated version will be posted on this page with a new "last updated" date. Significant changes will be notified in the App or by email where required. Continuing to use the App after changes take effect means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of India. Courts at New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App. Before starting formal proceedings, please contact us so we can try to resolve the issue directly.
